The Board of Directors' Meeting, session 3/2007 of SVI Public Company Limited held on April 18, 2007, at 11.00 a.m., the company's Board Room, 33/10 Moo 4, Chaeng Wattana Road, Pakkred, Nontaburi 11120, has resolved the followings:
1. The Minutes of the Board of Directors Meeting, session 2/2007 be certified.
2. Amendment to the Exercise Ratio and Price of Warrants to Purchase Ordinary Shares of the Company.
In relation to the resolution of the Board of Directors Meeting No. 2/2007 on March 15, 2007 at which the Board approved to change par value of the Company's shares from 10 Baht to 1 Baht each to improve share liquidity, resulted in the Company's registered shares increased 186,107,807 shares (One hundred eighty-six million one hundred seven thousand eight hundred and seven shares) to 1,861,078,070 shares (One billion eight hundred sixty-one million seventy-eight thousand and seventy shares). Thus the exercise ratio and price of Warrants to purchase ordinary shares of the Company are amended as listed below:

The meeting approved to amend the exercise ratio and price of warrants to purchase Company's ordinary shares earlier approved under the resolution adopted at the Board Meeting No. 2/2007 on 15 March 2007 by amending the number of warrants and exercise price to be in line with the change in par value to increase liquidity and to facilitate the exercise of warrants which do not affect the right of warrant holders to purchase shares of the Company. This amendment shall be affective from the date of registration with the Ministry of Commerce.
